Directors’ disqualification proceedings may arise when a director or their company is facing an investigation. The Companies Act 1985 empowers the Secretary of State to appoint an investigator, who in turn has the power to access company information from its directors, if there are reasonable grounds to believe that the activities of that company are not in the public interest. If they do not supply the required information or documents, they may be liable for contempt of court.

An investigation may in some cases result in the company directors facing criminal prosecution. The company itself may also be subject to winding up, and relevant information shared with other state bodies such as the Serious Fraud Office. Directors’ disqualification proceedings may also be instigated against company directors.
